Terms of Service

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated here by reference.

You must be at least 18 years old and able to form a legally binding contract to use the Services. The Services are not directed to children.

Access may currently be limited to invited users under an early-access program. We may grant, decline, limit, condition, or withdraw access to the Services at our discretion, including during the early-access period.

If you do not agree to these Terms, you may not access or use the Services.

• “Services” means the Foundrie AI platform, suites, tools, websites, applications, and APIs we make available to you.
• “User Content” means the information, text, files, documents, resumes, business and venture data, prompts, and other materials you submit to the Services.
• “Output” means the analysis, drafts, recommendations, scores, summaries, reports, and other content the Services generate in response to your inputs.
• “Workspace” or “Organization” means an account grouping through which an organization manages members, seats, and shared content.
• “Administrator” means a user with elevated permissions to manage a Workspace, its members, and its data.
• “Subscription” means a paid plan that provides access to specified features or seats for a billing term.

Foundrie AI provides AI-assisted tools for career development, startup ideation, validation, company execution, brand building, and related workflows, organized into the Career, Company, and Brand suites.

The Services are designed to help you create, organize, analyze, and improve materials. They do not guarantee employment, funding, investment, sales, business formation, regulatory compliance, or any other specific outcome.

The Services are offered on an evolving basis. Features may be added, changed, limited, or removed, and some features may be labeled as beta, preview, or early access and may be less reliable than generally available features.

You must provide accurate, current, and complete information when you register and keep it up to date. You are responsible for all activity under your account.

You are responsible for safeguarding your login credentials and for any use of your account, whether or not authorized by you. Notify us promptly at info@foundrieai.com if you suspect unauthorized access.

Accounts are for a single, identified user and may not be shared. You may not create an account using another person’s identity or credentials.

The Services may be used individually or within a Workspace controlled by an organization. If you join or are added to a Workspace, an Administrator of that organization may invite and remove members, assign and reassign seats, set permissions, and access, manage, export, or delete User Content and account information within that Workspace.

Where the Services are provided to or on behalf of an organization, that organization is responsible for its Workspace, its Administrators, the members it adds, and their use of the Services, and for having the authority and any necessary consents to place members’ information in the Workspace.

If you use an email address assigned to you by an organization to register or access the Services, that organization may be able to claim, administer, or restrict your account, and we may associate your account with that organization.

Some features are offered free of charge and others require a paid Subscription. Paid Subscriptions may be billed per user (seat), per suite, or per plan, for a monthly or other recurring term.

Payments are processed by our third-party payment processor (Stripe). By purchasing a Subscription, you authorize us and our processor to charge your selected payment method for all applicable fees and taxes.

Unless stated otherwise, Subscriptions renew automatically at the end of each billing term at the then-current rate until canceled. You may cancel future renewals at any time; cancellation takes effect at the end of the current term, and access continues until then.

Fees are exclusive of taxes, and you are responsible for applicable taxes. Except where required by law or expressly stated, payments are non-refundable and fees already incurred are not pro-rated on cancellation.

We may change plans, features, and pricing. We will provide reasonable notice of material changes to recurring fees, and changes apply to the next billing term after the notice.

As between you and Foundrie, you retain all rights you hold in your User Content. We do not claim ownership of your User Content.

You grant Foundrie a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and modify your User Content solely as needed to operate, secure, support, and improve the Services and to generate Output for you.

You represent that you have the rights necessary to submit your User Content and to grant this license, and that your User Content and its use by the Services do not violate law or infringe any third party’s rights.

You are responsible for maintaining your own copies of important User Content. We are not a system of record and may impose storage or usage limits.

The Services use artificial intelligence, including third-party AI providers, to generate Output. Output is produced by predictive models and may be inaccurate, incomplete, outdated, biased, or unsuitable for your situation. Similar or identical Output may be generated for other users.

Subject to these Terms and your compliance with them, as between you and Foundrie, you may use Output in connection with your lawful activities. You are solely responsible for reviewing, editing, fact-checking, and deciding whether and how to use any Output.

You must not present Output in a way that is deceptive or that fabricates credentials, experience, achievements, or endorsements, and you must comply with the terms of any third-party AI provider that apply to the feature you use.

Output is not legal, financial, investment, tax, employment, medical, or other professional advice. See Section 9 and the disclaimer below.

The Services and all Output are provided for general informational and educational purposes only and do not constitute legal, financial, investment, tax, accounting, employment, medical, or other professional advice, and do not create any professional-client relationship.

You should independently verify important decisions and consult qualified professionals before acting. Foundrie does not guarantee any particular result, including employment, funding, investment, revenue, business formation, or compliance.

You agree not to use the Services to:

• violate any applicable law or regulation, or infringe or misappropriate any intellectual property, privacy, or other right;
• misrepresent your identity, credentials, experience, or affiliations, or deceive employers, investors, customers, or others;
• upload or generate content that is unlawful, harassing, defamatory, hateful, sexually exploitative, or that promotes violence or discrimination;
• submit content you do not have the right to submit, or that contains others’ personal or confidential information without authorization;
• probe, scan, or test the vulnerability of, or breach or circumvent, any security or authentication measure;
• access the Services through automated means, scrape, or exceed rate or usage limits except through documented APIs and as permitted;
• reverse engineer, decompile, or attempt to derive source code or underlying models, except to the extent this restriction is prohibited by law;
• resell, sublicense, or provide the Services to third parties except as expressly permitted, or use the Services to build a competing product or to train a competing model;
• interfere with or disrupt the integrity or performance of the Services or the data they contain.

We may investigate suspected violations and may limit, suspend, or terminate access for conduct that violates these Terms or that creates legal, security, or operational risk.

The Services, including all software, models, designs, text, graphics, and the Foundrie name, logos, and brands, are owned by Foundrie or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.

If you provide feedback or suggestions, you grant Foundrie a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

You may not use Foundrie’s trademarks or branding without our prior written permission.

The Services rely on and may interoperate with third-party services, including cloud infrastructure, AI, authentication, payment, email, and analytics providers. Your use of those services may be subject to their own terms and policies, and we are not responsible for third-party services.

Links or integrations to third-party websites or resources are provided for convenience and do not imply endorsement.

Each party may receive non-public information of the other that is marked or reasonably understood to be confidential. The receiving party will use it only to exercise rights and perform obligations under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from another source, or to disclosures required by law.

Our collection and use of personal information in connection with the Services is described in our Privacy Policy and Cookie Policy. For organizations, additional data-processing terms may be made available on request.

THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

FOUNDRIE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRIE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRIE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FOUNDRIE FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limitations are a fundamental basis of the bargain between you and Foundrie and apply to all claims, whether in contract, tort, or otherwise.

You will defend, indemnify, and hold harmless Foundrie and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Services or Output, or your violation of these Terms or of any law or third-party right.

You may stop using the Services at any time and may close your account by contacting us. We may suspend or terminate your access, with or without notice, for violation of these Terms, to protect the Services or other users, or as required by law.

On termination, your right to use the Services ends. Sections that by their nature should survive — including ownership, licenses you grant, disclaimers, limitations of liability, indemnification, and dispute resolution — survive termination.

Following termination, we may retain or delete User Content as described in our Privacy Policy. Where feasible, we aim to provide a reasonable opportunity to export your User Content before deletion.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new “Last updated” date or by other reasonable means. Changes are effective when posted unless stated otherwise.

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except where applicable law gives you the right to bring claims elsewhere.

Before filing a claim, you agree to first contact us at info@foundrieai.com and attempt in good faith to resolve the dispute informally. Nothing in these Terms limits either party’s right to seek injunctive relief to protect its intellectual property or confidential information.

These Terms, together with the Privacy Policy, Cookie Policy, and any order or plan you accept, are the entire agreement between you and Foundrie regarding the Services and supersede prior agreements on that subject. If any provision is found unenforceable, the remaining provisions remain in effect.

You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control.
